By accessing or using our website and services, you ("Client", "you", or "your") agree to comply with and be bound by these Terms. By accessing our website or engaging in any service with Harbour Analytics, you agree to be bound by these Terms and any applicable laws and regulations. If you do not agree to these Terms, you must not use our website or services.

3. Service Agreements
Each service engagement is subject to a separate service agreement that defines the scope, timeline, deliverables, and payment terms. In case of any discrepancies between these Terms and the service agreement, the terms of the service agreement will prevail.
4. Client Responsibilities

You agree to provide accurate, complete, and timely information as required for the successful delivery of services.

You are responsible for ensuring that you have the appropriate technology and systems in place to access and use our services.

You agree to cooperate with Harbour Analytics to facilitate the timely and effective delivery of services.
5. Payment Terms

Fees: Fees for our services will be outlined in the service agreement or invoice. Fees may vary based on the scope of work, complexity, and the specific services rendered.

Payment: Payment terms and schedules will be specified in the service agreement. Payments must be made on or before the due date to avoid late fees or suspension of services.

Late Payments: If payment is not received by the due date, Harbour Analytics reserves the right to suspend or terminate services until payment is made. A late payment fee may be charged as outlined in the service agreement.
6. Confidentiality and Data Protection

Confidential Information: Both parties agree to keep confidential any proprietary or confidential information shared during the course of the service engagement. This includes, but is not limited to, business plans, client data, and intellectual property.

Data Protection: Harbour Analytics complies with applicable data protection laws, including but not limited to the General Data Protection Regulation (GDPR). Any personal or sensitive data shared with us will be handled with the utmost care to protect your privacy.
7. Intellectual Property

Ownership of Work: All intellectual property, including reports, analysis, designs, software, and any other deliverables, developed by Harbour Analytics in connection with the services will remain the property of Harbour Analytics unless otherwise agreed upon in the service agreement.

License to Use: Upon full payment for the services, Harbour Analytics grants you a limited, non-exclusive, non-transferable license to use the deliverables for the purposes outlined in the service agreement.
8. Limitations of Liability

Harbour Analytics will not be held liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, loss of data, or business interruption, arising out of or in connection with the use of our services or the inability to access our services.

Our total liability for any claim arising from the use of our services will be limited to the total amount paid by you for the specific service or project giving rise to the claim.
9. Service Availability and Changes

While we strive to provide reliable and uninterrupted services, Harbour Analytics does not guarantee that our services will be error-free or available at all times. We may, at our discretion, modify or discontinue certain services, but we will notify clients of any material changes that may impact ongoing engagements.

We reserve the right to update or modify these Terms at any time. Any changes will be posted on our website, and the revised Terms will apply to all future services provided.
10. Termination

Termination by Client: You may terminate the services at any time by providing written notice to Harbour Analytics. Termination will take effect in accordance with the notice period specified in your service agreement.

Termination by Harbour Analytics: Harbour Analytics reserves the right to terminate services in the event of non-payment, breach of the service agreement, or failure to cooperate with the terms outlined in this agreement. We will provide notice in such cases, and any outstanding payments will remain due.
11. Force Majeure
Neither party shall be liable for failure or delay in performance due to causes beyond their reasonable control, including but not limited to natural disasters, wars, pandemics, labor strikes, or government restrictions. In such cases, the affected party will notify the other party as soon as possible, and the timelines for services may be adjusted accordingly.

12. Governing Law
These Terms and the service agreements shall be governed by and construed in accordance with the laws of Maharashtra. Any legal action or dispute arising from these Terms shall be subject to the jurisdiction of the courts in Maharashtra.
13. Dispute Resolution
Any disputes arising from these Terms or the service agreement will first be addressed through good faith negotiations between the parties. If the dispute cannot be resolved amicably, the matter may be submitted to mediation or arbitration, as agreed by both parties.
